With the continuous development of the national economy and the integration of the global economy,in order to keep up with the development trend and occupy a strong competitive position,China's commercial Banks are also actively carrying out intermediary business,seeking new profit points and implementing comprehensive operation strategy to achieve strategic transformation.In the face of the new situation of global integration,the banking industry speeds up the merger and reorganization of other financial industries,especially trust institutions.As an important bridge to communicate the capital and the market,it is of great significance to obtain trust licenses in the increasingly prosperous asset management market.However,with the increasing number of such mergers and acquisitions,whether the mergers and acquisitions can achieve the motivation becomes the next question we need to think about,that is,whether the banking industry can achieve the original purpose of mergers and acquisitions at a considerable cost.Among the current performance research methods of domestic scholars,the event research method is mainly used to study the short-term performance of merger and acquisition,and the accounting research method is used to study the long-term performance of enterprise merger and acquisition.However,the performance research results reflected by these two performance research methods cannot specifically reflect whether the enterprise has realized the motivation of M&A through M&A.First,maybe the changes in stock price and financial indicators are not only caused by the merger and acquisition,but also by many other factors that cannot be eliminated.Second,many M&A motivations are qualitative factors,which cannot be evaluated according to quantitative financial indicators and stock values.This paper studies the performance evaluation of mixed mergers and acquisitions of commercial Banks in China,aiming to solve the following three problems:First,combining with the reality of mixed mergers and acquisitions in China's banking industry,to provide new ideas for the performance evaluation of mixed mergers and acquisitions of commercial Banks.Secondly,the paper uses this idea to evaluate the performance of cases and explore the internal reasons for obtaining the evaluation results.Thirdly,based on the performance evaluation results of this idea,how to further realize the motivation of M&A is discussed.Firstly,the motivation of SPD bank's M&A of Shanghai trust was analyzed from the macro,medium and micro dimensions.Then,the performance evaluation method was used to evaluate the performance of the M&A results based on the motivation,and the performance change and the reason for the change were specifically analyzed to reveal the cause of the performance change and the mechanism of the influence of M&A on it.Based on the above analysis results,Suggestions were made for the subsequent integration of the M&A.Finally,from the case study,the author summarizes the inspiration for the performance evaluation and integrated operation of such financial institutions.The expected findings are as follows:the M&A performance evaluation system is comprehensive and effective;Through M&A and post-M&A integration,SPD bank has realized M&A motivation to some extent.The theoretical application value lies in the fact that the analysis of the motivation of M&A in this paper can be used for reference by other cases,and can also provide new ideas for the performance evaluation of mixed M&A of other commercial Banks.The value of practical application lies in that the revealed mechanism can enlighten financial institutions,especially other Banks in the banking industry,that adopt the M&A approach to achieve comprehensive operation,and help them make decisions on whether to merge or not.
