With a rather slow start and the development of more than two decades, E-commerce in China has become such prosperous aspect in industry development、industry scale、e-commerce information and some service enterprises in trade and technology. E-commerce has obviously changed the economic pattern of the traditional society and the way that the people had lived. However, the loss of the credit has been an obstacle of the development in our country,and its legal guarantee has become the “bottleneck” in the development of e-commerce. Based on the promotion of the development on theory and practice, and the information security on E-commerce,great concern needs to be done in the inadequacy the legislation of E-commerce in China. At the same time, positive measurements should put into use on the basis of actively study the positive experience from some developed countries that had good experience on legislation. In addition, the whole society must promote and devote to the construction of the governmental and e-commercial subject. With the contribution of all sectors of the society, including the managers and customers, the E-commerce Legal Security System would be accomplished.The dissertation consists of the following five parts: Part I Introduction. Starts from the current problem,prompts the credit crisis that e-commerce is facing nowadays,then give the research overviews within China. In Part Two, this dissertation will explore E-commerce in legislation and analyze the practical significance of credit in E-commerce, mainly reveal the significance of system construction in dealing with the E-commerce credit imperfection. Part Three will collate and stipulate the conception of E-commerce Managers, interpret the credit’s concrete constraint on E-commerce Managers and explore the specific regulations on E-managers both home and abroad. In Part Four, from the E-commerce consumers’ point of view the dissertation will combine the relative laws and policies in China and abroad to discuss the actual power and the original power of the consumers in E-commerce. In Part Five, taking the opportunity that the start of legislation of the electronic commerce law in China, the dissertation will prompt some specific suggestions on the theme and give proposition on constructing systematic and effective E-commerce Credit Law System by combining the requirement of the E-commerce development.
