China Limited Partnership Private Equity Investment Fund Law Study

Private equity funds (PE funds) in the form of limited partnership have made great success in the United States. There are also a large number of PE funds in the form of limited partnership in our country since the implementation of the Revised Partnership Law in 2007. By comparing three major legal forms of PE funds in our country and that in the U.S., this thesis puts forward some suggestions on the improvement of PE funds in the form of limited partnership in our country.The thesis consists of five chapters.The first chapter is the summary of PE funds in the form of limited partnership. This chapter is divided into two sections. Section one introduces the concept of PE funds in the form of limited partnership and simply compares some similar concepts. Section three introduces the concept of PE funds in the form of limited partnership and its application in private equity investment fields.The second chapter researches the legal forms of private equity funds. Chapter one introduces the concept, classification and considerations of legal forms of private equity funds. Chapter two compares three major kinds of private equity funds in our country.The third chapter is about PE funds in the form of limited partnership in the US. Chapter one briefly introduces the importance of regulations and policies. Chapter two and three analyze the reasons for its fast development in America.The fourth chapter compares the limited partnership private equity funds in our country with that in America. This chapter is divided into two sections. The first chapter introduces the regulations and practices of PE funds in the form of limited partnership. The following chapters compare the similarities and differences of PE funds in the form of limited partnership of Sino-US to point out the disadvantages of PE funds in the form of limited partnership in our country.The last chapter is the perfection of limited partnership private equity funds in our country. In this chapter three proposals - adjust the tax system, broaden the channels of funding sources and quit are proposed.
