Then,evaluate our regulations, and sum up experiences. Thirdly, introduce different rulesunder ither countries and areas. Make clear orientation that this is the company’ssupervisory authority; Finally, put forward suggestions for the board committee inChina. This paper is divided into four chapters:Chapter I introduces the main reason for the board committee generated. Worldwide,there are three types of organizational structure of company governance, differentorganizational structure, the requires for the Board to be different, it is necessary toclarify the positioning of various types of board. The board committee systemoriginated in the United States, the U.S. corporate governance system has played arole of great help, has also been introduced to the mining structure parallel systemoperation such as Japan and Taiwan. The reasons for the system appear are introducedbased on the different type of the company governance structure.Chapter II introduces the current situation of the board committee system in China.
