Study On The Corporate Board Of Supervisors System In China

Supervision committee is a vital part in a company management, which plays animportant role in the successful market activities of a company. So, in each companyall over the world, its position and role are established in different ways.The Company Law of China issued in 1993 and revived in 1999 states theconcerning rules about supervision committee, which plays a positive role in theregular management of a company. But meanwhile, problems still exist. To somedegree, they prevent a company from developing. The Company Law was issued whenChina first began its market economy, thus, many problems could be clearly found, asa result, some defects are unavoidably remained in the Company Law. With the rapiddevelopment of the social investment and the company's practice, the problem on howto intensify the supervision role of the supervision committee, in the Company Law isincreasingly concerned.When the Company Law is revived, there will be an urgent need for careful studyon the system of supervision committee in China. This article contains three sections,the theory basis for the establishment of the supervision committee as well as its value;the analysis of its existing problems and causes in China;the methods of improving thesystem of supervision committee in China.Based on the unity and consistency of law system, this article analyzes andcompares their respective system of supervision committee in Germany and Japanwhich are representative in this aspect among the countries of continent family law.The writer also puts forward suggestions on the improvement of the supervisioncommittee system in China.
