With the development of smart phones, payment has been changing, with the two-dimensional code for the payment of the media business model, and gradually into people’s eyes. Due to the two-dimensional code has information storage capacity, high traceability, resistant to damage and strong, cheap cost, etc., and therefore the two-dimensional code technology allows customers to pay in just tens of seconds, whether through advertising, or virtual network, you only need to scan the two-dimensional code, to complete the whole process from order to payment through to mobile phones, without having to pick the mall, waiting in line at the cash register, credit card spending, and its ease of generally recognized by the industry. It not only represents the people a new way of life, one of the hottest areas of research is the current electronic payment.About two-dimensional code of laws and regulations related to the amount paid less and provisions are too broad, and therefore the presence of two-dimensional code to pay certain legal risks. The common nature of the business, such as the payment mechanism is unknown, the user information and privacy can not be protected, high security risk to consumer transactions, regulatory uncertainty is not in place result in regulatory confusion or legal risks.In this paper, the reality of China’s e-commerce development to pay the current two-dimensional code, the integrated use of lists, contrast, definition and other payment methods for analysis of two-dimensional code. Firstly, since the source code is a two-dimensional analysis of the payment, opening presents the concept of two-dimensional code, which leads to the two-dimensional code to pay, but also that the two-dimensional code payment and other electronic payment methods different characteristics. Secondly, discusses the use of two-dimensional code to pay particular case the payment process. The second part of the article from a different point of view of the two-dimensional code payment behavior of risk, including the terminal risk, regulatory risk and payment risk. The third chapter draw on third-party payment institutions with reference to foreign regulatory laws. From the fourth chapter analyzes the status quo of China’s current legislation regarding the two-dimensional code and third-party payment institutions to pay, which can be found in the lack of legislation, such as the nature of the payment institution, market access system, regulatory status quo, transaction security, privacy protection and other issues, and in the last chapter for each of these problems by presenting a perfect idea of legal norms in the field of law and settlement proposals learnt from abroad.
