The market economy is the legal economy, but also the credit economy. The Reform of commercial registration system in China, representing the mode of operation of the practice of the Chinese government and the market shift, as an expression of the basic concept of national governance change in Shoji. The essence of commercial registration system reform is in transition countries and commercial concept. Government regulatory governance model Transformed into market-oriented governance Shoji. Practice has proved that simple capital credit, asset credit, public power is difficult to maintain market order and credit guarantee,which was a direct violation and institutional market players circumvention overhead. Credit to the public power authority to guarantee commercial registration system is difficult to guarantee the effectiveness of public regulation. Commercial Registration System Reform in a series of decentralization, not simply cast it, but aims to establish a new model to maintain market order. By comparing before and after the reform of China’s reform and regulation system logic commercial registration system and its governance philosophy embodied Shoji, based on the view of Commercial Credit legal mechanisms, exploring the subsequent governance reform governance ideas fit to achieve a smooth transition reform the old and new systems to avoid disjointed system disorder caused by commercial activities. Commercial Credit legal base on formal legal system and consider the logical behavior of market players. It is an effective way to solve the dilemma of the reformed. Comparative analysis extraterritorial United States, Germany, Japan,this paper argues that builders Credit legal mechanism should be based on commercial credit information opening-based, independent, fair and market-oriented operation of information service enterprises as the mainstay, with a sound national regulatory and effective credit markets punishment mechanism for the protection, the formation of the business subject to effective restraint mechanism and a good social environment for credit.
