Since 1945, Vietnam’s state-owned enterprises have reached a considerable scale until now. After nearly three decades of development, Vietnamese state-owned enterprises reform was along the liberalization- marketing- corporatization- demutualization road going ahead, and met the requirements of modern economic development. The reform of property rights of Vietnamese state-owned enterprise is the most meaningful and valuable part, and the constantly improvement of the relevant laws of the reform of property rights will promote the establishment of the Vietnamese state-owned enterprise property rights system, pull the state-owned enterprises development, contribute to the legalization of Vietnam economy system.This paper studies on the legal regulation of the property rights reform of Vietnamese state-owned enterprises and mainly divides into four main parts: research basement- object analysis- foreign experiences- measures conclusions.The first part is the research basement, including the first chapter and the second chapter of this article. The first chapter collects relevant information and reviews assessment, points out the necessity of this research. The second chapter to clarify the basic concepts which are related to the property rights reform of state-owned enterprises.The second part analyzes the status quo, including the third chapter. The fourth chapter analyzes the current situation of the property rights reform of Vietnamese state-owned enterprises and the legal regulation, and then analyzes the problems of the legal regulation and points out the necessity of the legal regulation of the property rights reform of Vietnamese state-owned enterprises.The third part analysis the foreign experiences, including the forth chapter. The third chapter analyzes of the legal regulation of the property rights reform of state-owned enterprises of the United Kingdom, the United States, France, and China,and summarizes the experiences.The fourth part is the conclusion and countermeasures, including chapter 5 and chapter 6. Basing on the current situation of the problem analysis in Chapter IV, combining with the previous study on abroad experiences of the third chapter, the chapter 5 proposes to establish the legal regulation path of the property rights reform of Vietnamese state-owned enterprises. Chapter VI makes a summary of the findings, points out the lack of this research, and looks forward to do prospect work for future research.
