Intellectual property investment has two sides, although it can improve the enterprise’s market competitiveness, also because of the uncertainty of evaluation value of intellectual property rights, making the investment more complicated traditional tangible property investment. Trading on the risks is also higher than traditional investment. Should be paid to the subject matter of intellectual property rights, the eligibility of capital contribution should first consider the factors, which means we need to review whether the intellectual property rights have the statutory capital contribution conditions, it also requires that companies in the process of registration, need to check the quality of the value of intellectual property investments, and to evaluate its core values, to prevent its interests damage may be produced in the process of investment, reduce the risk of possible.This article is based on the company’s registered intellectual property rights in the investment and risk problem as the research topic, mainly adopts the methods of comparative analysis and case analysis starting from the relevant provisions of company law based on the relevant provisions of intellectual property law on the topic. It is divided into four parts. The first part is the introduction. This paper briefly describes the background and significance of topics, analyzes the latest revision of the company law on intellectual property rights in the investment part of the content, and does to literature research at home and abroad are reviewed. The second part is related to intellectual property investments theory, on the concept of intellectual property rights and intellectual property contribution made a definition and analyzes its characteristics. The third part mainly analyzes the intellectual property contribution of the eligibility of subject matter. The fourth part mainly elaborated the intellectual property of the investment in the domestic institutional defects and combining with specific cases to know production contribution of common risk evaluation. The fifth part is the design level of financial contribution system of intellectual property in laws and the thoughts of party autonomy in terms of risk prevention.
