Throughout the domestic and foreign related enterprise mergers and acquisitions case, about over50percent of the M&A case is a failure, for the reason, either the "divorce" caused by the expected synergy effect can’t be achieved, either merged enterprise value has not been real ascension. Eaton Corp is one of the leading global UPS manufacturers, from2007to2008for two years of M&A office system of MGE and Phonixtec group, in the industry has caused great challenge, but from the development achievements of the next five years, the two mergers is successful case.This paper reviews some motivations theory of enterprise M&A, Eaton corporation M&A Phonixtec group were analyzed is the result of the enterprise to pursue profit maximization as the management goal, it is a way to increase the competition ability of UPS products; and then in another Angle elaborated the concept of innovation, lists R&D team have indexes for products and technology innovation and production capacity. Enterprise need improve products and technology innovation ability to win the market, but the enterprise on the basis of the original up to improve the innovative ability of R&D team, sometimes is very difficult, and through the M&A, it will be a very good turning choice. This paper studies the core of the problem is that as companies continue to grow stronger, how companies through M&A in the same industry competition in the enterprise, the integration of R&D team, so as to improve enterprise products and technology innovation ability, for the enterprise in the industry bigger and stronger to lay a solid foundation.In this paper, the choice of Eaton M&A Phonixtec’s R&D team integration as the research object, study why Eaton can improve Phonixtec’s R&D team innovation ability. Compared before and after the status of R&D team, the author by comparing the R&D team before and after integration situation found people is the most important innovation factors, Eaton in the process of integration of R&D team in the first place to adjust the organizational structure, fully mobilize the initiative of R&D staff on product and technology innovation, and then improve the personnel structure of the R&D team, with high quality engineers as the core, to independent innovation of products and technology, finally Shared with the R&D team of engineers to provide products and technology platform, so as to improve the innovation ability of the whole team, on the other hand, without this M&A, R&D team can’t change from predominantly production capacity of innovation model to give priority to with products and technology innovation model, through five years results prove Eaton through integration to raise the innovation ability of R&D team.In this research, the author personally involved in the integration of Eaton Corp R&D team process, the related theories of enterprise M&A, the study of the relevant literature in order to improve the innovation ability of R&D team, On this basis, author combed the key factors to improve the innovation ability of R&D team, With some real data as reference, analyzes M&A of enterprises to improve the original R&D team innovation ability, must be study more in terms of human factor.
