As the domestic market competition intensifying and the enterprise management developing, mergers and acquisitions has become a common competition strategy. When the enterprise m&a behavior occurs, various factors such as business environment, organizational commitment and individual interests will change and lead to employees’ psychological contract violation. This contract is the tacit understanding of the psychological between the enterprise and employees, which contributes to arouse the enthusiasm of the employees’ work and maintain the labor contract relationship. However, many enterprises cause the failure of m&a because of improper personnel integration.Psychological contract research produced in the 1960 s, thriving in the 80 s. At that time, the world economy is weak, with the staff high unemployment. Academic circles begin to pay close attention to employees’ psychological contract which one of the important factors that affect the work efficiency. Academia in the psychological contract concept, content and against widely discussed, but have not yet reached a consensus. In terms of how to reconstruct the psychological contract, domestic scholars have put forward a series of logical thinking. But most scholars conclusion belongs to the subjective logic inference, lacking the support of management practice.Based on weichai m&a xiang torch, this paper uses the grounded theory to deeply investigate the problem, which factors will affect the employees’ psychological contract. First of all, this article through the way such as weichai internal, media, literature maximum range to collect information related cases. In faith correction theory, under the guidance of the classical grounded theory is adopted to gradually open, spindle and selective coding information, get 184 concept coding, coding 16 categories and six axial coding. Guided by the theory of belief revision, This article carry out open coding, axial coding and selective coding for dates, and get 184 concept coding, coding 16 categories and six axial coding. Since then, based on 184 concept coding and related content, this article design questionnaires to sampling and corrects the influencing factors. This paper argues that the enterprise market prospects, strategic planning, reconstruction elements, organizational flexibility, luck and resources integration through six categories of employees’ psychological contract reconstruction with different degree of influence. In this paper, this paper conducted case analysis about the influence factors of employees’ psychological contract. Finally, based on the research of relevant conclusions, this paper has a further explanation about the influencing factors in different periods, the importance of enterprise and employee concerns. Based on the case method, this paper explores the six major categories to reconstruct the employees’ psychological contract. However, shortcomings in this study are:single root case study methods affect the result of saturation; qualitative research is not clear compared to the importance of the elements of different periods, to provide direct reference suggestion to the enterprise. This article hopes to gradually solve the lack of the research for the later research.
