Directors Incentive Compensation and environmental corporate social responsibility performance was negatively correlated; 2, director equity incentives and environmental corporate social responsibility performance positively correlated; 3. Directors governance practices and environmental corporate social responsibility performance positively correlated; 4. the Board of Directors incentive Compensation and there is no correlation between governance practices; 5, there is a positive correlation between the equity incentive and the Board of Directors governance practices; 6, board governance plays a mediating effect on the behavior of directors incentive effects on environmental performance in corporate social responsibility.On the basis of empirical research, this paper established a reasonable incentive directors; regulate board meetings, strengthen strategic behavior and conduct oversight board, so that the Board of Directors can seriously contribute to the enterprise as well as to strengthen the understanding of the social responsibility of directors, etc. put forward specific measures to improve the social responsibility performance of listed companies.Innovation as: 1.building a social responsibility performance evaluation system of environmental protection enterprises; 2. from the perspective of the board of directors of the mediating effect, validate the impact excitation by the Board of Directors of CSR performance behavior; 3. join ecological contribution, so that enterprises inspired by more attention to environmental protection.Insufficient research: an article collect data on environmental protection enterprises are mainly listed company data, and only 2011-2013 years of data, it has some limitations in the data sources, data may be collected not fully reflect the argument relationship; 2. the data processing method is relatively simple.
