In the past ten years, China has gradually grown into the world’s second largest economy, the development of science and technology is to attract worldwide attention, but the rate of scientific and technological achievements are global and China’s international status is far from, 10% of China’s scientific and technological achievements conversion rate is far lower than developed countries 40%. At present, the problem has attracted countries attention, enterprises are the subject of conversion of scientific and technological achievements, research to improve the conversion rate of scientific and technological achievements of enterprises, is a hot topic in the field of.This thesis selects an enterprise has the dual nature of state-owned enterprises and scientific research institutes as the research object, the annual production value of nearly billion, but the scientific and technological achievements conversion rate is only 13%, the production rate of less than 1%, typically and severe forms. This paper is based on the transformation of scientific and technological achievements in theory, knowledge management theory, incentive theory and project evaluation theory, starting from the four aspects of "personnel, resources, capabilities, management", to describe the phenomenon, analysis of the problem, to find out the reasons, finally put forward measures and suggestions from two aspects of incentive mechanism and evaluation system.First of all, some enterprises as state-owned enterprises and research institutes in the transformation of scientific and technological achievements, the existence of "four aspects of personnel, resources, management ability," problem in the work, the specific performance of enterprises and employees of transformation, transformation project implementation task force ability, enterprise resource input is not enough and the management evaluation system is not perfect etc.. Secondly, the root causes of these problems mainly by the incentive efficiency of low efficiency and no standard evaluation result. The causes of incentive efficiency problems including outdated ideas, goals are not clear, the mechanism is not complete, without the effect of incentive and unfair benefit distribution system. The ability of the problem can be formulated as the problem of effective incentive is the necessary condition to improve the ability of; project evaluation is not standard, it is an important cause of the high rate of scientific and technological achievements into the project failed. No project is expected to lead to a scientific evaluation, enterprises cannot put too much money, creating a vicious cycle.Finally, based on the incentive theory and project evaluation theory, this paper puts forward two countermeasures and suggestions. One is the incentive mechanism, proposed the incentive measures do not treat employees and key employees, starting from the employee’s inner needs, establish the enterprise and employees "win-win" vision and objectives, combined with the characteristics of the nature of the enterprise, from the psychological motivation, interest distribution and allocation of rights and other aspects of long-term incentive; on the other hand, with the stage the characteristics of scientific and technological achievements into the project, the implementation stage, a key incentive. Second is the project evaluation, the transformation project in stages, with each stage characteristics of the development of specific evaluation standard. Prediction and planning stage by using AHP model, evaluate the feasibility of quantitative science, to ensure effective implementation of the project; the development stage, the method of multi-level fuzzy model, the implementation of the key consideration in the process of transformation; product and promotion stage using the model of clustering, review the whole process of the project stand in the overall point of view, to comprehensive evaluation. Demonstration engineering project of an enterprise as a reference to a specific model validation case, confirms the validity of the model.
