Research On Commercial Registration System Reform In China

Commercial registration is a system that registration authority legally confirm establishment, alteration or termination of commercial subject.With the in-depth development of the socialist market economy, China’s Commercial Registration has also exposed some problems, such as legislative emphasis laying too much on the public authority while ignoring citizens private rights, rigidly conservative acts of government administration, unclear responsibilities and rights,inefficiency. In it there are high barriers to entry for enterprises, access to complex system design of business, and high costs for registration. Such a influence, due to too much government control, is too strong, to meet flexible and efficient market economy requirements. Key problems existing in Chinese commercial registration system is that balance development mechanism of government public power and private rights is not established. The functional position of registration authority is not reasonable. Registration legislation is not perfect. It has not meet the requirements for the economic development of our country. The key to solve this problem is reasonable functional position of registration authority. On the basis of the reasonable definition of new public management theory, the government build a new relationship between government and market by changing administrative management concept. On the basis of the protection of private rights,the government formulate relevant registration laws and regulations, play to the role of business subject, so as to eliminate the imbalance between government and market, realize the rational system construction.In 2013, for the purpose of reforming and perfecting our country’s commercial registration system, our country commercial registration reform was officially listed in the report on State Council institutional reform and transformation of government functions.In the report, the State Council decided to speed up the functional transformation of governments, innovate regulation methods of governments, establish fair, open and transparent market rules and guarantee ventures and innovations,by releasing the market access for the new-established business.Before that, the typical area represented by Shenzhen have been carried out to explore the commercial registration reform. Through the study of some typical areas in China commercial registration reform mode and present situation of Taishan District, Tai’an City, Shandong Province commercial reform, according to the origin of the commercial registration system and foreign commercial registration experience, this paper provide a reference for promoting the industrial and commercial registration reform, to facilitate commercial registration system can better serve the market economy and commercial subject.
