In modern enterprises, the separation of the ownership and management leads to agency problems. As the person in charge of the daily operation of the enterprise, the executive play an important role in developing the corporate strategy as well as promoting the development of the company. At the same time, he is also the one the corporate governance mechanism aims to constrict. The talent of the executive usually determines the company’s future prospects and such effect is usually reflected in the company’s performance, so the company performance has also become an important indicator of the evaluation of the executive. Therefore, this paper discusses the impact of the change of company’s executives to the performance from the perspective of corporate governance.This paper is divided into six chapters, the first chapter is an introduction, and it analyzes the background, significance, research ideas, methods as well as innovations. The second chapter is a literature review, mainly summarizing the corporate governance theory and research of executive changes. The third chapter analyzes the present situation of corporate governance to explore the effects to executive change, and proposes underlying assumptions. The forth chapter makes empirical texts with the listed companies in China as a sample. The fifth Chapter gives corporate governance countermeasures and suggestions based primarily on the results of the analysis of empirical research. The sixth chapter summarizes the results of this study, points out deficiencies and possible future research directions.
