The early stage of the reform and opening up, due to China’s backward economic basis, basic it is involved in the communication of the world economy and development by introducing, introduction to is the main form of China’s participation in globalization, but with the rapid economic and technological development level of China, the internationalization of the micro-level passive already can not adapt to the new development situation, national export-oriented economic model is by introducing strategy to introduce to walk out the strategy of combining in recent years, some strength strong transnational mergers and acquisitions are the means by which Chinese companies are actively promote the globalization of production and operation, it is an important way to accelerate the process of internationalization of China’s enterprises, however, a deal finally success not only lies in the completion of mergers and acquisitions, cultural communication and integration within the enterprise after the merger is still the focus of the mergers and acquisitions, successful cultural integration for merger and acquisition management system implementation and operation efficiency.Western studies show that mergers and acquisitions, especially in cross-border mergers and acquisitions in the process there is a considerable risk, cultural differences are most of the major cause of the failure of the enterprise transnational merger and acquisition.And our Chinese enterprises faced in the process of cross-border m&a national cultural differences and cultural differences, business and other multiple barriers and cultural differences due to China’s acceptance of enterprise culture is low, so in mergers and acquisitions in Europe and the mature business, how to conduct effective cultural integration, in order to improve the success rate of m&a and have become urgent problems when Chinese enterprises to invest overseas This article first at home and abroad about cultural integration after the merger, the importance of corporate culture theory research;Second, emerged from the transnational merger and acquisition of national culture, business culture and corporate culture with multiple conflicts, analyzes in detail the types and characteristics of the enterprise culture conflict.To solve these problems, puts forward the relative concepts of cultural integration, and cuts into the focus of this article, namely the cultural integration model research, expounds the cultural integration of the concept and application of various models of the premise, and establish the related 3 d dynamic models to more vivid characteristics.On this basis, using the dynamic model, a thorough analysis of the cultural integration of Chinese enterprise culture acquisition types, puts forward the author of Chinese enterprises transnational m&a cultural integration model.Again, in this paper, with the examples of successful acquisition of Volvo geely group, to analyze how Chinese enterprises specific for cultural integration in mergers and acquisitions, have something in the process of integration, how to eliminate the cultural conflict and summed up a lot of useful experience applied to real.Finally, the paper puts forward the countermeasures of enterprise transnational m&a cultural integration.Chinese enterprises in the national "going out" strategy under the guidance of, and actively participate in international competition and cooperation, but must see that because of China’s enterprises because of the lack of experience of transnational m&a, and has increasingly visible and cultural barriers, cultural integration work remains to be perfect, all of these seriously affect the healthy development of the enterprise after the merger, this article is based on the particularity of Chinese enterprises transnational mergers and acquisitions, namely the development of Chinese enterprise culture is not mature and vulnerable and chinese-style management has many disadvantages, it is difficult to the world, foreign enterprises to China low recognition and acceptance of enterprise culture.Because of this, based on case study, this paper analyses the differences in national culture and corporate culture the influence of cultural integration model, summed up the Chinese enterprises transnational m&a cultural integration mode selection of key influencing factors, from the Angle of the dynamic analysis of Chinese enterprises transnational m&a cultural integration model selection process, put forward its own Suggestions and countermeasures, and provides a reference for Chinese enterprises transnational merger and acquisition.
