Yunnan Tin Group (Holdings) Co., Ltd. (hereinafter referred to as yunnan tin holding company YTC) made a major adjustment to its development strategy in 2008, which was to transform from a single non-ferrous metal tin-based company to a diversified holding group. The merger and acquisition strategy have been identified as one way of achieving YTC's strategic objectives. This paper, on the basis of existing theoretical M&A research at home and abroad, with reference to the experience and lessons drawn from some domestic and foreign M & A cases that having a significant impact, in combination with the actual situation of YTC and the needs of goals of strategic development, tried to study YTC's acquisition strategy in order to supplement and improve the system of development strategy,and to provide theoretical and practical support for reaching YTC's strategic goals.Using PESTEL, EFE, IFE model and SWOT, the paper analyzed the internal and external environment of merger and acquisition and concluded that YTC has had abilities and resources for M&A; By Boston Consulting Group (BCG) share matrix and directional policy matrix, the paper analyzed and chose preferred industries for M&A; Combining the relating theories (M&A management theory, M&A strategy theory and M&A motives theory) with YTC practice, the motivation, purpose, model and content of YTC's acquisition were studied, and finally measures of implementation of M&A strategy were put forward.The paper is of certain reference value for other enterprises,who are in same industries or have similar strategic objectives, to cope with the increasingly fierce market competition and to make themselves stronger and larger. Especially, for large and medium sized enterprises in non-ferrous metals industry who make use of M&A to attain trategic transformation and diversification expansion, the paper provided theoretical guidance and set and example to them.
