State Farms is a historical product of special historical period to develop the rural economy or economic resources. Since1949, State Farm has played an exemplary role in China’s agriculture modernization process, played a safeguarding role in increasing supply of agricultural products and stabilize the market, promoted the social rural development and urbanization of remote areas, made a great contribution of defend national security, strengthened national unity, and safeguard social stability. Along with changes in the economic system, the reform of State Farms has become an important part of its self-transformation. Many experts are concerned on some related problems to the reform of State Farms, they believe that the difficulties of reform is in the separation of social and enterprise, and separation of government and enterprise. It benefits the liberation of the productive forces for Land Reclamation and further accelerate the development. There are many difficulties and problems in Land Reclamation. For example, the internal management system and the mechanism is not live, farm social governance needs to be innovative, the core competitiveness of enterprises to be enhanced, agriculture, internal governance structure needs to be improved.This paper defines what is the property rights system, introduces the importance of explicit property rights, analyses problems during the reform process from the perspective of the development of Hainan State Farms and changes of it property rights system. Although farm management system has achieved substantial results in Hainan. This paper using institutional theory of property rights to analyze the reform of Hainan State Farms from the perspective of economics. From land reclamation history, market rules, legal framework, external constraints to look at issues related to the reform of property rights system. Discussing the reform of state-owned farms on the basis of the relationship between government, business and socialist.
