In the background of economic globalization, transnational operation is a strategic choice for Chinese commercial banks to continue develop and keep a long-term competition. Cross-border M&A is the most direct, efficient and effective way for commercial banks to rapid expand. After the national 18 th meeting, there is a higher requirements for commercial banks, include to deepen the reform of banking market, to adhere to the different develop of banking system, to promote the internationalization of banking sector, to form a bank echelon. In the trend of internationalization, marketing, differentiation and echeloning, the joint-stock banks, which is more flexible, dynamic, facing the reform force. The growing medium and small banks begin to possess the ability to start cross-border M&A. China Merchants Bank is one of an outstanding bank of medium and small banks, it is already have a long-term international development strategy. So, it is an urgent and important question for joint-stock commercial banks to combine their own characteristics to expand cross-border M&A.This thesis takes the choice of medium and small banks’ cross-border M&A strategies as the theme, combined with the new situation for bank system and their own characteristics for medium and small banks, using the case-based analysis, data analysis and comparative analysis to start the research as follows: firstly, research the current situation and characteristics of china’s commercial banks to lead to the current situation, characteristics and necessity to start cross-border M&A for joint-equity banks; secondly, based on the case study of CMBC, through the research on time, location, targets, merger ways, payment ways and integration ways to find the right choice for CMBC; thirdly, through the comparative analysis of cases for Minsheng Bank and China CITIC Bank to sum up the general rules of cross-border M&A for joint-equity banks; finally, to summarize the enlightenments of joint-equity banks’ above cases from a microscopic point of view to better carry out the cross-border M&A。...
