Research On Dynamic Evolution Method Of Technology Sourcing Overseas M&A Integration And Innovation

In recent years, the number of overseas M&As of Chinese enterprises has grown rapidly. Compared 2015 with 2014,the number of 2015 increased by more than 1/3,and it created a new record. More and more enterprises reached their tentacles to developed countries and regions, because these countries and regions are worth learning in aspects of culture, tech and resources. In particular targets with advanced technology and abundant resources can provide new impetus to the development of the acquirer. However, most of the overseas mergers and acquisitions did not go as smoothly as expected, so as to achieve the desired results. The main reason is the integration and mismanagement.In the theory part,we make a review of previous research methods,and analyse the connection between resource similarity, complementarity, degree of integration, autonomy, and technology innovation. With an appropriate model based on methods and conclusions of the previous research, we reveal the impact of technological innovation process and factors, interaction analysis of variables, selection of integration degree, target autonomy intermediate variables. After that we describe the dynamic process and a mathematical model of concrete is conducive to more specific to explain this problem.After proposing Mathematical model, as it involves three volume and intermediate variables is also uncertain, so choosing the appropriate degree of integration and the target autonomy is very important. We can use the dynamic simulation method changing the settings of the variables in the mathematical model and make the model in the process of dynamic characterization of resource relatedness, integration decision problem, the relationship between technology innovation.Our study finds that technology acquisition of overseas M&A resources of both the strong similarity, weak complementarity, with high degree of integration, low target autonomy; technology acquisition of overseas M&A on both sides of the complementary resources of strong, weak similarity should choose a low degree of integration, high target autonomy; resource similar strong complementary strong, corresponds to a high degree of integration and the target autonomy is conducive to technological innovation.Comprehensive mathematical model for theoretical discussion, empirical test results is proposed in this paper, and the related suggestion of the theory and practice combined with the practice of overseas M&A and integration acquisition technology of our country puts forward to the corresponding policy recommendations.
