From the perspective of industrial structure, these measures have achieved certain results. The proportion of the total number of enterprises and economic output of the third industry has been increasing and surpassing the second industry in Guangdong. Foreign direct investment is one of the important driving forces to promote regional development. Foreign direct investment invest mainly in resource intensive industries, this is conflict with the development of the third industry in Guangdong Province. This is open to discussion whether the foreign direct investment is conducive to the economic center of Guangdong province from the second industry to the third industry upgrade. One of the objectives of the industrial transformation and upgrading is to get rid of high energy-consuming economy. The third industry belongs to low energy consumption, so the third industry has become the focus of the economy in the background of China’s current energy shortage.Therefore, the study of the relationship among industrial upgrading and energy consumption and foreign direct investment is of great significance for low-carbon development and industrial upgrading in Guangdong Province.This paper selects the Guangdong Province as the research object. First, this paper analyzes the present fields at home and abroad, and then analyzes the actuality of industrial structure and energy consumption and foreign direct investment in Guangdong Province. Finally, this paper uses the 1985 to 2014 time series data through vector auto-regression model(VAR), analyzing the relationship among industrial upgrading and energy consumption and foreign direct investment.The study found there is bi-directional Grainger causality between Industrial structure and energy consumption. Industrial upgrading is helpful to the reduction of energy consumption intensity, and the reduction of energy consumption intensity also promotes the upgrading of the industry. There is bi-directional Grainger causality between industrial structure and foreign direct investment. Foreign direct investment is not conducive to the economic transformation of Guangdong province;the same, industrial upgrading is not conducive to foreign investment in Guangdong Province. There is unidirectional Grainger causality from foreign direct investment to energy consumption; the technological advantage of foreign investment is conducive to the reduction of energy consumption in Guangdong province.
