As a large enterprise integration, whether state-owned operating company capital investment take parent subsidiary control mode for enterprise reasonable, the effectiveness of the integration and the future reform and development plays a vital role. Parent subsidiary control mode of state-owned capital investment company, has important theoretical value and practical significance.In 2014, Xiamen SASAC integrated a number of decentralized management of stateowned enterprises into the J Group Company, as a state-owned capital investment operating company. J Group Company across the municipal engineering construction, public utility management and multiple industries, focusing on Xiamen municipal, transportation enterprise of state-owned equity and capital operation, undertake major municipal government, transportation infrastructure construction project investment and financing, and business related to the capital as a link to the integration and restructuring. After the integration, how to establish a more effective group management and control model to was the first problem need to consider.The paper base on the theory of control mode of parent subsidiary company, analyzed the current status and the problems of J Group’s parent subsidiary company control mode and control means,and have the conclusion that J Group should change the current administrative management type(centralized) to the mode of management mode(relative decentralization), and give some suggestion about more diversified management control means, suitable function positioning of parent company. better corporate governance structure and so on. It will be benefit for providing reference for J Group Company and other Xiamen state-owned enterprises to choosing the suitable control mode and control means.
