A Study On The Egulation Of Corporate Registration

Company registration system is not only directly related to the survival of a company, but also directly related to a company's capability. Thus, the company which as the most important part of the market economy, is playing an important role in the economy. At the same time, as a crucial channel for the government intervention in economy, the company registration system has great influence in a country's macro-economy. On the one hand the economic structural reform is under way for a long period of time, on the other hand the “unification model in the company registration system has drawbacks constantly. All in all, we must solve the following problems when we participate in the global competition: summarizing, correcting and to promoting our legal system of company registration; enhancing the government supervision; preventing the government market competition.This article illustrated the value orientation of the company registration based on the shareholder limited liability company and the cost effectiveness of risk control theory. In addition, it also explained the function the company registration system from the perspective of stakeholders and rethink the nature of the company registration system from the perspective of reason, system operation and consequences. What's more, on the basis of sufficient demonstration, the article balanced the safety and efficiency of the company registration, and guaranteed the economy security and transaction security. The author put forward the legislative suggestion to perfecting our company registration system in China, based on he reform of company registration of separatism and selection mode in the registration institution.This article consists of five parts, which are the introduction and four chapters.In the introduction part, we mainly reviewed the development history of the company registration system, explained the connotation and characteristics of the company registration, and discussed the relationship among related concepts.In the first chapter which is the value foundation of the whole article, it reveals the value orientation of the company registration system through the legislative value analysis, compare company registration system with commercial registration system. The second chapter lay the theoretical foundation of the article. It explained the nature, function and effect of the company registration system, combining with the value orientation of the company registration system.From the view of comparative method, the third chapter focused on the evaluation and introspection of our current company registration system by comparing the Chinese system and foreign systemIn the last chapter, this article proposed the legislative suggestions to improve the company registration in our country based on the analysis of “separatism” which is mentioned in the previous chapters.
