In recent years, with the rapid development of market economy and people's living standards, the phenomenon of anonymous contribution has a growing trend in the limited liability company. Limited liability company has co-resistance, but dormant investment destroys that trust. Meanwhile, the commercial implementation of the Principle of Public Credit, and anonymous contribution, the actual investor has not been recorded in the register of shareholders and other publicity material, but the information acquired in the transaction are not necessarily true, and it easily lead to a series of disputes. This paper analyzed the concept and characteristics of anonymous shareholders, eligibility extraterritorial dormant shareholders of that standard, and the legal relationship between the hidden shareholders and relevant subjects. Then focus on the present situation of the implicit protection of the rights of shareholders, foreign and anonymous shareholders legal system were studied. This article points out the shortcomings of the above-mentioned laws to protect anonymous shareholders, and then by analyzing the legal risks anonymous funded, to find the hidden name of shareholder rights protection drawbacks. Meanwhile, in the context of the reform of the registration system of registered capital, the paper discusses the impact of the registration system of subscriptions dormant shareholders, which made recommendations to improve the system of protection of the rights of anonymous shareholders, including the identity of a sound system of anonymous shareholders, clear Implicit rights and obligations of shareholders to build equity investment trust anonymous system.
