In the second chapter, this article mainly expounds the United States, Japan, Germany and other foreign commercial banks to participate in the practice of corporate governance, and analyzes emphatically the comparison of the advantages and disadvantages that between the United States and Germany and Japan commercial Banks participate in corporate governance practices, combined with the concrete situation in our country, to provides a reference for our country commercial bank to participate in the choice of enterprises governance. In the third chapter, the paper mainly discusses two kinds of path choice that the corporate governance of commercial banks in China to participate in enterprises governance, namely commercial Banks respectively rely on debt and equity participating in the corporate governance, and gives a respective exposition from the necessity, feasibility, and the methods of the two paths; And according to the choice of two paths, and puts forward specific suggestions on Chinese commercial banks to participate in corporate governance, including strengthening the supervision of the commercial banks to the enterprise examination through the loan contract, commercial banks can be used as external supervisors exercise their right of supervision, to further improving our host banking system, and putting forward concrete suggestions from the legal level, etc.
