Research On Legal Problems Of Legal Persons Of Farmer Professional Cooperative

In 2007,China promulgated and implemented the farmers' professional cooperatives law of the People's Republic of China(hereinafter referred to as the farmers' professional cooperatives law).the author YaoDu area of linfen in Shanxi Province 50 farmers' professional co-operatives operation has carried on the on-the-spot investigation,according to the effective questionnaires back,in terms of corporate governance structure,the sample cooperative analyzed the legal problems,and puts forward constructive countermeasures for accordingly.The full text is divided into three parts,the main contents are as follows:The first part,the farmers' professional co-operatives in the aspect of corporate governance structure of related theory are analyzed in step by step.First of all,explain the farmers' co-operatives.Second,clarify the farmers' professional co-operatives,the concept of corporate governance.Finally,the author according to the modern legal theory,the three internal mechanism of corporate governance of cooperative carried out one by one.The second part,YaoDu area of linfen in Shanxi Province farmers' professional cooperatives as the breakthrough point,through the analysis of YaoDu area farmers' co-operatives in the corporate governance structure to reflect the problems of cooperatives in the problems in our country.The author embarks from the practice,field interviews and other forms of cooperatives three internal agencies-meaning,actuators and all kinds of problems of the supervising agencies for the combing and analysis of the system.The third part,consummates law in the legislation on corporate governance structure.Problem,for the second part is a reflection of the targeted in the farmers' professional cooperatives law the provisions of the governance structure of the repairing method is put forward.Mainly expounds the repairing method of countermeasures from four aspects,we should improve the legal system for the member's congress,perfect the legalsystem of the council,perfect the legal system of the supervisory board and improving farmers' professional co-operatives corporate governance of the external legal environment.Through the common mechanism of internal and external adjustment,eventually make cooperatives owned by members and control.The author hopes that through YaoDu of linfen in Shanxi Province empirical research on the farmers' professional co-operatives in law,for our revision of the farmers' cooperatives law sprang out.
