Research On China's Enterprise Annual Report Disclosure System

The enterprise annual report is one of the important contents of the commercial system reform in China.The annual inspection system of traditional enterprises has been running for nearly thirty years,and its defects and drawbacks are becoming increasingly apparent.The corporate annual reports publicity system as an innovative means of market regulation,is being replaced by the corporate annual inspection system,a commercial system reform after the strict control of the functions of play.At present,China's enterprise annual report publicity system has been implemented for more than three years,and successfully completed the smooth transition from annual inspection to annual report.The public notice system of enterprise annual report has been carried out so far,and has made some achievements.Although the annual report publicity system has achieved certain results,but the implementation of the new system still has shortcomings.This article uses the literature analysis,empirical analysis and comparative analysis of research methods,the annual public system and the general theory of the status of implementation of research and analysis,and put forward some reasonable suggestions to improve the annual public system,in order to be helpful for the development of China's annual report publicity system.This paper is divided into three parts:Part One: the theoretical overview of enterprise annual report publicity system.This part mainly introduces the basic situation of the enterprise annual report disclosure system.First of all,the implementation background of the new system is summarized and summarized.Then,i introduces the content of the system and its theoretical basis,and expounds the value and function of the system.Then,the author analyzes the longitudinal historical changes of new system and inspection system,expounds the necessity of the inspection system was replaced by the annual report system,and compare the annual public system system of listed companies,compared with two for different subjects of information disclosure system of the similarities and differences between the dew.Part Two: the current situation and problems analysis of the enterprise annual report publicity system.China's enterprise annual report disclosure system has been implemented in China for more than three years,and the transition of the new and old system has been basically completed.As a regulatory system,its regulatory function has been basically realized.But the operation of the new system is not perfect,the legal system is not perfect,the legal liability mechanism needs to be perfect,credit management system construction is still in the primary stage,the effectiveness of government regulation is not enough,annual public system still exists the declaration information is not sufficient,not real,but not sufficient,not true will influence of annual public system to play its regulatory functions,is not conducive to maintaining market stability and protect the interests of investors.The information disclosure system in foreign countries is relatively long and has accumulated more mature experience.Therefore,studying and referring to the foreign information disclosure system is also an essential step to study the public notice system of China's annual report.Part Three: suggestions on the improvement of the public notice system.In view of the problems existing in the operation of the current annual report publicity system,the author puts forward some suggestions from several angles.1,improve the legislative system and legal responsibility mechanism.2,to further standardize the annual publicity,publicity content and hierarchical set of public duties,and integrates the information disclosure platform in the management mode,the credit grading,rewards and punishments;3,enrich and perfect the mechanism to start the examination.4,the establishment of inter governmental regulatory information exchange mechanism.
