The Research Of Merger And Acquisition Strategy Innovations Under The View Of Risk Management

The horizontal M&A, which is short for merger and acquisition, is an effective way for a company to raise market share and enhance its competitiveness. During recent years, many listed companies in China are experiencing rapid development by horizontal M&A. There is no doubt that horizontal M&A has many profits for a company, however, the risks and challenges exist as well. The risks come from different periods of the horizontal M&A and range from macro to micro. How to use strategy innovations in the horizontal M&A to help companies weaken or wipe out the risks and how to promote the strategy innovations under the view of risk management are important lessons that we should focus on in order to add efficiency and effectiveness to horizontal M&A.This paper will be divided into four parts. The first part is the introduction, in which part the background, the significance and the main content of this paper will all be introduced. The second part is the summarization and contrast of the theory from China to abroad. At the same time, the new points of this paper will also be mentioned. The third part is an analysis of the horizontal M&A cases of Bluefocus and Ourpalm. This part is about the creative points of the strategy during horizontal M&A under the unique analysis frame of the paper. The last part is about the conclusion of the case analysis and relevant recommendations. In this part, some guidance about financing and payment, values of subject and integrating risks for future horizontal M&A strategy innovation will be given.This paper divides M&A risks into macro, industrial and firm levels in case analysis, and builds unique analysis frame under the view of risk management, which is combined with analytic hierarchy process and expert investigation method. The novelty of this paper is that it analyzes M&A strategy innovation under the view of risk management, and uses combined analysis methods of literature reviews, case analysis, questionnaire, comparison, qualitative and quantitative analysis and so on, the “topic model” of the case is essentially different from the general way of case analysis.
