The Chinese transformation from planned economy to market economy is causing problems of institutional ethics. Recognising the present situation of chinese basic system and constructing its ethics foundation resonablely will be helpful for the future development of China.So this paper tries to do a institutional ethics study of China based on critique of utilitarianism.Pursuit of utility maximization is the basic feature of the utilitarianism.As the foundation of the system, utilitarianism can be proved from the vision of legitimacy and effectiveness.Used as the ethic basic of western market economy, utilitarianism could increase economy efficiency absolutely.But meanwhile,we must admite that it has the potential threat from violation of individual rights.What's worse,the distribution of national wealth will be ignored.This defect is also reflected in our society,leading to the growing gap between the rich and the poor.which obviously deviate from the equal goal of socialist system.And with the comparison to west culture,chinese culture lack thetradition of individualism and contract consciousness,which is not beneficial to exploit the efficiency advantages of utilitarianism.So we hold that reasonable evaluation criteria should not only be helpful for the development of social productive forces, but also to the all-round development of people free.we should set up the goal of common prosperity,draw lessons from capability approach,and cultivate rewarding consciousness.Only in this way can we make our economy more healthy, stable and sustainable.
