Research On Corporate Governance Legal System

Russian Federation and Republic of Kazakhstan had some social and economic reforms in the past 10 years. These changes have not only affected the living conditions, but have also changed the way people thinking about the world. The numbers of joint-stock companies have been increasing from year to year. Nowadays,the various industries and services in the scope of the shares have emerged. Joint-stock companies are based on the national economy and are closely related to the interests of millions of people. Therefore, the legal issues of corporate governance of joint-stock companies are worthy of attention.There are many similarities and differences between the two countries in the corporate governance system. The most complicated problem of stock company law is the legal system of corporate governance. The main research object of this paper is the corporate governance of the stock company, including the concept, mode, ownership structure and corporate body. Firstly,the concept of corporate governance and setting principles of legal value is analyzed; secondly, an analysis of the main types of corporate governance model,and the comparison between the external and internal governance mode, based on Russia and Kazakhstan corporate governance system. The problem of corporate governance is the most important task of legal adjustment.Secondly, this paper analyzes the concept of the stock company, the ownership structure and the legal protection of the stock right. Finally, the author analyzes the legal person organization, the general meeting of shareholders, the board of directors and the executive organ.
