Surplus management,senior management salary incentive have always been a major research subject in corporate finance and accounting,the relationship between these two is a hot issue among academic circle.Under the context of the separation of ownership and right to operate,the study of salary incentive mechanism of senior management and surplus management face severe challenge,due to financial scandals of Enron and WorldCom in the end of 20th century based on the salary incentive mechanism on accounting surplus initiated in Britain in the end of 19th century under the context,the essay put forward assumption on theoretical analysis and research on the effect of senior management salary on surplus management through retrospect of the relationships between senior management salary,surplus management and senior power in both domestic and foreign economies,and established models and variables to analyze the extent to which senior salary effect surplus management.The essay is divided into the following four parts.The first part is the introduction,which explains the background and practical significance of the topic,defined related notions like senior management,surplus management,senior power etc.and listed the research content and framework of the essay,also pointed out the research method and innovation of the essay.The second part gives review of related literature,put forward two research hypotheses and make theoretic analysis on the effect of senior salary on surplus management.First of all,brief review and comment on related literature are done,including research on salary,senior power,surplus management and the relations among the three,and finds that the academia has deeply explored the senior salary issue,second of all,theoretic analysis on the effect of senior salary on surplus management is done,putting forward two research hypothesis-"senior management salary is positively related to surplus management,equity incentive is negatively related to surplus management" and "the stronger the senior control,the higher the senior salary,which in turn leads to declination in salary management",which lays foundation for later empirical analysis.The third part is research design and empirical analysis on the effect of senior salary on surplus management.Firstly,empirical model on senior salary on surplus management is set up,assigning surplus management as explained variable,and senior salary,senior power and ownership structure as explanatory variable,the scale of company,market competitiveness,asset/liability ratio and annual virtual variable as control and established linear structure function model.Secondly,concrete empirical analysis is conducted,choosing data from 2004 to 2009 of listed companies of Shanghai and Shenzhen Stock Exchange,overall sample observation totals 1249,the essay thoroughly analyses the extent to which senior salary effects surplus management using C++,LISREL 8.8 and Excel etc.and finds out that senior salary is positively related to surplus management.After senior power is introduced 'in the analysis,however,the correlation fades.The fourth part is about conclusion and policy suggestions that supervision and balance of corporate control should be enhanced and corporate governance structure perfected,more effective salary should be made and incentive mechanism perfected,accounting legislation should be strengthened to modulate surplus management of listed company.The main feature and innovation of the essay is the adoption of a new perspective,introducing third perspective-senior power,and analyze the relationship between senior salary,senior power and surplus management,which means to regard surplus management as senior behavior under senior power,and investigate the effect senior power has on senior salary inducing surplus management,and conduct empirical analysis.Its meanings are two folds,first,to better understand the correlation between senior salary and surplus management,second,to provide empirical evidence on perfecting corporate governance structure,enhancing the implementation of senior incentive program,establishing and perfecting information disclosure system and actively pressing ahead collaboration between senior management and shareholder.The essay is limited to,1)the selection of variables such as senior salary and surplus management and research design need further tests;2)listed companies that have implemented equity incentive plans are limited due to imperfect equity incentive system and lack of spread.And there is no way to establish more precise multi-dimensional comprehensive senior salary index to investigate salary sensitivity on performance and surplus management of listed companies due to availability of data.
