The Study On Fonds Occupation By Majority Shareholders In Zoje Industrial Sewing Machine Company

In theoretical views,after the realization of entire circulations,the listing company will face a highly decentralized stock structure;however,in reality,even they are experiencing an optimizing of the stock structure,the phenomenon that the relatively intensive of stock and dominating by one is exiting.For the private listing companies which have the ability of sustainable development,they don’t give up their controlling rights easily with the pattern of family controlling and special enterprise culture.In other hand,the behaviors that funds occupation by the big shareholders are invisibility,which adds difficulty to supervision and governance.In other words,the inhibition of funds occupation is temporarily if we only depend on enhancing the normal supervisions and governances,we can’t wipe it entirely.So,there is point in preventing and reducing funds occupation for the purpose of improving the efficiency of resource allocation and investing,in the end,optimizing the enterprise’s market value.This paper is a survey of the questions above which including six parts.Firstly is an introduction,which introduce our surveys’ background and meanings,then we give a review and comment of recent literatures,our surveys’ ideas and methods are introduced followed.Secondly,we illustrate the economic consequences of the funds occupations via a case analysis.Thirdly,we introduce the backgrounds of our protagonist,their governance mechanism and funds occupations by the big shareholders.Fourthly,we give a detail of its funds occupation on the basis of theory,including motivate and inner and external reasons why it happened and realized.Fifthly,it is an analysis of consequence of funds occupation;mostly we focus on the company itself,stock markets and bonds holders to analyze the outcomes.Last but not least,we advise some ways to prevent funds occupation from big shareholders in listing company based on our case studies.
