A policy has been put forward that Mixed-ownership enterprises will be allowed to utilize employee stock ownership to form a vested community of capital owners and workers in the Third Plenary Session of the 18 th Central Committee of the Communist Party of China.A series of policies about Employee Stock Ownership Plan were also introduced accordingly.So far,we have ushered a new era in the development of employee stock ownership.Employee Stock Ownership Plan plays an important part in optimizing State-owned enterprises' ownership structure,improving the level of management,stimulating vitality of enterprise and promoting international competitiveness.However,the practice of Employee Stock Ownership Plan in a new round reform of State-owned enterprises in China is still at the pilot phase.Universal shareholding models haven 't formed yet.What's more,in relevant research findings,few of them can be used in guiding practice.Thus,this article decides to make a research of employee stock ownership pla ns in State-owned enterprises.By doing this research,the writer wants to make contribution in carrying forward implementation of Chinese employee stock ownership plans in State-owned enterprises.This article takes Employee Stock Ownership Plan in S group as the research object.According to the deep analysis of its plan itself and its results,this article summarizes this plan's deficiencies,promotes the corresponding improvements and extracts its successful experience in order to provide reference and guidance to other State-owned enterprises.This article is divided into six chapters.Chapter one introduces the research's background,the significance and current situation both at home and abroad.Chapter two thoroughly describes the theory of Employee Stock Ownership Plan and introduces its related concepts as well as its development in China.Chapter three mainly introduces backgrounds,motives,procedures and embodiments of S group's Employee Stock Ownership Plan.This article also analyzes its embodiment from incentive targets,financial sourcing and so on.Chapter four analyzes the results of the plan.Judging from the ownership structure,business performance,financial condition and market reaction,this article compares and analyzes changes happened before and after S group's Employee Stock Ownership Plan and judges its results accordingly.Chapter five summarized above analysis and shortcomings of S group's Employee Stock Ownership Plan,and then gives the corresponding optimization methods.At the same time,Chapter five extracts its successful experience in order to provide reference and guidance to other State-owned enterprises.Chapter six is the summary and outlook of the whole article.Based on the analysis,the writer holds the opinion that S group's Employee Stock Ownership Plan is contributed to promoting company's business performance.But during the implementation process,there exists several problems such as the low ratio of employee stock ownership.According to these problems,this article gives the relevant suggestions and these solutions will be beneficial to perfect this plan and its development.Also,the success of S group's Employee Stock Ownership Plan brings valuable reference experience for other State-owned enterprises.
