Beginning in 2002,Chinese enterprises gradually to the international development began a large-scale overseas M & A activities.The number and size of overseas acquisitions in the first quarter in 2007 have exceeded the number and size of M&A in 2006,Overseas mergers and acquisitions become China's international strategy to achieve the transformation of one of the important ways.For overseas acquisitions,technology acquisition and strategic transformation are the main objectives of our enterprises,and hope to obtain high quality assets of overseas enterprises through mergers and acquisitions.But most of our overseas mergers and acquisitions are not ideal,and the main reason is because of poor integration.Based on the theory of M & A integration,this paper studies the integration of Media and KUKA.The theory of mergers and acquisitions includes the theory of enterprise growth,the theory of enterprise competitiveness,the theory of enterprise ability,the theory of M & A process,system theory and synergistic effect theory.These theories show that the integration effect directly affects the core competitiveness of enterprises.In addition,the merger and acquisition process should also follow certain principles,China's enterprises in overseas mergers and acquisitions should follow the profit maximization and systematic principles,so as to ensure the realization of mergers and acquisitions goals.The principles of integration of mergers and acquisitions further emphasize the importance of the integration process to overseas mergers and acquisitions.On the basis of the relevant theoretical principles of mergers and acquisitions and the status quo of overseas mergers and acquisitions in China,this article uses case analysis,introducing the whole process of M & A,describing the motivations of M & A-that in order to improve the robot industry chain,reduce the technical property rights risk,reduce the relative cost,promote the "double intelligence strategy" and so on to the acquisition of KUKA robot limited liability company,and the problems of strategic integration,technical integration,human resource integration and cultural integration are analyzed in detail.Find out the questions of the acquisition of the value of the creation and business layer strategic transformation,and subsidiary cooperation and realization of "Smart Manufacturing" in Robot Industry Chain,and avoid the loss of core employees and attract talented people in the robot industry,and the cultural differences between the German and the cultural groups between the Media and KUKA by analysis.In view of the Media of the integration process in the existing problems,put forward the corresponding solution concept-set up a dedicated integrated leadership group,continuously adjust the integration plan,stabilize employee mood,strengthen independent innovation,intercultural training,and so on.Hope to guide other companies in the process of mergers and acquisitions overseas.
