As our country enterprise overseas mergers and acquisitions areflawed and boomed in2012, the construction machinery industryoverseas merge occupied the important position, in the consequence ofaccounting for45percentages of the whole manufacturing industry.However, there is a little bit of researches which do not combine thespecific enterprise’s operation and development among engineeringmachinery enterprise overseas mergers and acquisitions integration studyin our country. Now that these enterprises have no experience ininternational operations at the same time, it is difficult to discover realdifficulties in the process of enterprises overseas merges integration.Therefore, this article discusses the enterprises overseas merge integrationproblems and experience in our country from the perspective of thesuccessful case of current construction machinery, in order to giving otherenterprises some suggestions.Firstly, this article definite the core competence and integration, aswell as the dialectical relationship between of them, it benefits to find outthe resource of the integrated enterprise overseas mergers andacquisitions. Through analyzing the relationship between the core abilityand overseas merge integration, this article defines the integratedcompetiveness with the theories of enterprise ability and competiveness.As well as, this article builds up the integrated competiveness framework from the five perspectives of the strategy match, the type of the mergers,the purpose of mergers, asset characteristics and the demand of theorganization’s independence.Secondly, this article analyzes the background of constructionmachinery industry mergers and acquisitions. Through the introduction ofthe overseas merge process in the construction machinery industry, takingexamples of the main enterprise merger cases. In the combination of themerger practice, it finds out main motivations of the SANY andPortsmouth merge and analyses the major risk in the process of merge.Thirdly, this paper selects the symbiotic integration way accordingwith the integration framework. After analyzing the problems in theprocess of SANY overseas mergers and acquisitions, as well as comingup with corresponding strategies. Then this article points out the changesof the core ability with the DuPont analysis of SANY consolidationeffect.At last, this article comes up with several suggestions about overseasmergers and acquisitions in our country machinery industry, incombination with SANY’s practice.
