| As an important part of the market, Family enterprises has made a great contribute to the growth of various types of economies, the promotion of the industry progress, and give a good effect on employment. Study on the theory of experience and development of family enterprises, has been given a lot of attention at home and abroad, but on the other hand, the research about the currentlygovernance structure of family businesses is still relatively lack. It is necessary to comb from the perspective of enterprise practice. Under the background of rapid economic and social transformation, "change" is a key element and skill during the development of modern family businesses. Modern family enterprises need to establish a rapid responseto environmental change management system. According to the environmental change perception level, modern family enterprises need to set up an agile flexible enterprise development strategy, and to adjust the organizational structureaccordingly.This research’s object is a famous family enterprise in Taiwan, the Vedan Group.Firstly, it is reviews the relevant literature and theory of family corporate governance,which includes the definition, classification and characteristics of family business, and the cause of the change of governance model and governance structure, etc., this research compares the differences of several major family corporate governance models in the world. Then,it explains the basic situation of the Vedan Group,such as the history,property right structure, organization structure, the "dual system" of the governance structure and business structure. Next,it forces on the change of the governance structure of Vedan Group during 2013 to 2015. By analyzed the cause of the change, and the main content of the transformation, such as the introduction of external consultant team, the establishment of the review and decision committee mechanism, and the setting up of the study group on major issues,this research discusses the achievements and existing problems of the change. Finally,in view of the problems of Vedan group’s governance structure reform from 2013 to 2015, this research puts forward some suggestions, such as by strengthen group cohesion, the improvement of the governance structure of the "dual system", and the setting up of the independent inspection mechanism.
