With the further deepening of reform and the rapid development of technology and economy,corporate governance has entered a new stage,from the original passive development gradually to the development of innovation and transformation.Enterprises in the full understanding of their own development under the premise of the status quo,analysis of their own industry,development stage,strategic objectives,and as a basis to explore their own development needs in line with the corporate governance system,thereby enhancing corporate governance efficiency,in this context,The partner system came into being.At present,Goldman Sachs,Alibaba and Vanke these three companies have implemented a unique partner system,this paper selected Alibaba partner system for research,on the one hand because Alibaba in China and the world have a certain influence,The research on it can bring some reference for the rapid development of electric business field and the whole science and technology innovation enterprise.On the other hand,because of the three partner system,the Alibaba partner system brings in the corporate governance level The effect is the most obvious,but also the most innovative value.This article will be Alibaba partner system as the research object,and carried out various aspects of the analysis.First of all,the Alibaba Group and its implementation of the partnership system were introduced,and Alibaba partner system and dual ownership system comparison,that the Alibaba partner system is an innovative corporate governance system,worthy of our further study.Secondly,the author analyzes three aspects of Alibaba's partnership system: one is the motivation of the system governance,the second is the effect of the system governance,and the other is the risk of the implementation of the system.In the analysis of the effect of corporate governance,this paper has established a comprehensive corporate governance evaluation system,which mainly analyzes the internal corporate governance quality and external corporate governance performance.Corporate governance quality related to the ownership structure,board governance,board of supervisors governance,employee motivation four factors;corporate governance performance related to financial performance,innovation capacity two factors.The analysis concluded that Ali Group in the implementation of the partnership system after the Group to the corporate governance level has brought great success.This paper is based on the objective point of view that the Alibaba partner system also has certain risks,mainly in the interests of small and medium shareholders may be damaged,the major shareholders may regain control,the transparency of the internal management of partners and other aspects of poor transparency.In this paper,the author also gives the corresponding suggestions: First,establish and improve the protection system of ordinary small shareholders;second,to speed up the introduction of the relevant voting authority of the law;Third,increase the supervision of the partners;Able to improve the partner system to make it more perfect.Finally,we hope that we can bring some inspiration to the corporate governance of other science and technology innovation enterprises by drawing lessons from the successful experience of the partner system.
