Under the situation of domestic energy structure changing,Kaidi Ecological is facing the problem that the company's strategy and the main business must be transformed.Biomass power generation has become the new direction of business development.In recent years,with the increasingly serious environmental problems such as haze,climate warming,national policy gradually tilted to renewable electricity.Biomass power generation,as the representative of the renewable power industry,can solve the problem of straw burning,so the author thinks that it is meaningful to pay attention to the development of such enterprises.In addition,Kaidi Ecological through the assets reorganization in the biomass power generation industry rapid expansion,but such a large-scale expansion makes the company's financial pressure has greatly increased.Therefore,for the companies that carry out strategic transformation or rapid expansion,Kaidi Ecological's asset reorganization is also very representative.Based on these reasons,this paper takes Kaidi Ecological that the largest biomass power generation company in China as an example,analyzes the background,performance evaluation and risk of the asset reorganization.It can provide suggestion for enterprises in the same period of strategic transformation or rapid expansion to reorganize assets,provide reference for other biomass power generation enterprise reorganize assets,provide the basis for the regulators to approve the reorganization of assets and provide suggestion for investors to invest.Firstly,this paper expounds the background and significance of the research,reviews the theory of asset reorganization and literature review at home and abroad.Then the paper introduces the general situation and the process of Kaidi Ecological's assets reorganization.Next the paper analyzes the background and risk and performance evaluation of Kaidi Ecological.Performance analysis is divided into financial performance analysis and market performance analysis,financial performance analysis includes solvency analysis,operational capability analysis,profitability analysis and growth ability analysis.The results show that the financial performance of the company after the asset reorganization is not good,and the short-term market performance is positive,indicating that the asset reorganization in the short term to create wealth for the shareholders of the company.In addition,the paper also analyzes the positive impact and existing problems of the asset reorganization.According to the results of the analysis,the paper suggests that the company should control the speed of expansion,improve the financial risk early warning mechanism,strengthen the integration after the reorganization,so as to achieve the company's development strategy.
