In recent years,there are many retail enterprises with physical stores that are underperforming because of excess capacity,rising rent and the rising cost of labor.There are many problems in front of the retail industries such as how to turn around,upgrade and enhance the market competitiveness.Many retail enterprises with physical stores began to upgrade through merger and acquisition with E-Commerce.In order to prove the way of retail enterprises with physical stores merger and acquisition with E-Commerce can make enterprises turn around and upgrade or not,this thesis will mainly use case analysis method to research and analyze.Firstly,I will elaborate the basic theory of merger and acquisition and the research status at home and abroad.Secondly,I will analyze the case of Bai Yuan trousers through the way of merger and acquisition synergy effect analysis with financial target.The results show that the management ability,the profitability and the debt-paying ability of Baiyuan trousers are all improve a lot after M&A.Thirdly,I will analyze the case of Bai Yuan trousers through the general performance,economic added value and market value analysis.The results show the business performance of Baiyuan trousers improves a lot after M&A.Next,I will analyze the financial risk and the response measures of Baiyuan trousers after m&a.The results show the financial risk get a good solution.Finally,through the analysis of the above results,the final conclusion shows the M&A of the Baiyuan trousers with Globalgrow E-Commerce are good.It's a good way of M&A with E-Commerce for upgrading of the traditional retail enterprises with physical stores.
