A Study On Corporate Governance,Cash Dividends And Over-investment Behavior: Based On Manufacturing Listed Companies

In recent years,both domestic and international,environmental pollution,food safety issues such as the frequent occurrence of people for product quality and safety issues more and more concerned about the implementation of corporate social responsibility is essential to its development.With the development of the concept of "five in one" in the report of the 18 th National Congress,China's development strategy has not only focused on economic development,but also paid more attention to the construction of ecological civilization.Not only the country,business is also the case.From the development point of view,enterprises concerned about the interests of the maximization should pay attention to economic and social sustainable development.In view of this,companies assume a variety of social responsibility is particularly important.Traditional cost,quality and other requirements are not a measure of the competitiveness of enterprises standards,and enterprises bear the effect of social responsibility is the key to sustainable development of enterprises.The paper uses the seven parts to study the Mengniu Group social responsibility report.The first part mainly explains the background and research significance of the topic,as well as the domestic and foreign scholars on the status of social responsibility information disclosure research,as well as the research methods and innovation points;the second part introduces the relevant theoretical basis;Mengniu Group in the dairy industry status and Mengniu Group,the development of social responsibility information disclosure and Mengniu Group social responsibility report content.The fourth part compares the Mengniu Group's social responsibility report with the G4 standard,and provides the basis for the existence of the Mengniu Group's social responsibility report.The fifth part finds the existence of the Mengniu Group's social responsibility information disclosure.The sixth part is about perfecting Mengniu Group society Responsibility information disclosure measures;the seventh part is summarized.This paper draws the following conclusions:(1)Mengniu Group's social responsibility information disclosure overall situation is better but there are also problems that can not be overlooked,Mengniu Group information disclosure subjective arbitrariness;qualitative description of the main lack of quantitative information;Did not disclose the third party forensic report;data contains the scope of the problem is not clear.(2)make recommendations on the basis of the problem: first of all enterprises should correct their attitude to the disclosure of social responsibility information,recognizing that corporate social responsibility information is for the use of stakeholders;Mengniu Group in considering the characteristics of the industry,from the perspective of stakeholders,Quantitative information disclosure;at the same time the establishment of social responsibility information disclosure performance system,the development of corporate social responsibility information disclosure laws or regulations to regulate the content of social responsibility information disclosure and strengthen supervision.The innovation of this paper: the concept of sustainable development and stakeholder perspective,from the company's point of view,recognize the company's disclosure of social responsibility information on the importance of its stakeholders.Based on the analysis of Mengniu Group 's social responsibility report and the G4 standard,the Mengniu Group' s social responsibility information disclosure shows the subjective randomness,lack of quantitative information and other issues,and put forward suggestions for the problem.Based on the disclosure standards of social responsibility at home and abroad,combined with the characteristics of Mengniu Group,the social responsibility performance table is designed to provide reference for the improvement of social responsibility information disclosure system in domestic dairy industry.
