As a long-term and effective means of incentives and corporate governance,equity incentive plan have been widely used by the west in enterprise management practice and have achieved good results.However,the theoretical research and practice of this aspect in our country is not ideal.R pharmaceutical company is A pharmaceutical business platform owned by the pharmaceutical group A pharmaceutical group,based in Harbin,heilongjiang province.R pharmaceutical's main business is mainly composed of medicine and pharmaceutical wholesale business,retail business.But R pharmaceutical companies currently exist in the management incentive mechanism of excessive risk damage the interests of shareholders,promotion system is imperfect,spiritual motivation and design problems such as imperfect performance evaluation indicators,and because of these problems that have led to the inability of R pharmaceutical companies to absorb and retain talented employees,companies are at risk of losing good talent employees.In order to solve this risk,to adapt to the economic environment and the needs of the enterprises,to increase the management of our management and to serve our shareholders' investment objectives,this paper want to through the study of the equity incentive plan design for R pharmaceutical company,to absorb and retain talent employees for the company's future development of "force",to make the enterprise long-term sustainable development.This paper is a reference to the research achievements of scholars at home and abroad.And to the R operating situation of the pharmaceutical companies and economic conditions in provinces and cities and industry characteristic has carried on the concise.Through incentive mechanism of R pharmaceutical companies in-depth analysis and research,to R pharmaceutical companies of the deficiencies and problems in the present system of incentive mechanism made to collect and more in-depth analysis.Based on understanding the current internal and external environment of R pharmaceutical companies,to make a equity incentive plan.This article mainly discusses the equity incentive plan design,the elements of respectively from the mode of equity incentive plan,stock source,awarded price,granted object,time arrangement,the incentive amount,seven aspects of scientific and reasonable assessment index to design.In order to make the R enterprise equity incentive plan optimal,in combination with the equity incentive plan issued in 2014-2015 and the actual situation of R pharmaceuticals,this paper mainly studies the incentive indexes of the equity incentive plan,thedetermination of the target value and the design of the evaluation index.Finally,reasonable and feasible Suggestions are put forward for the problems that may be encountered during the implementation of the equity incentive plan.
