Employees are the most important “asset” of an enterprise.Long-term success or failure of enterprises depends on the continuous employee incentive management.Employee equity incentive can achieve the function of spiritual incentive and material incentive.Talents can be attracted and retained by maximizing employee incentive,which can optimize enterprise equity institutions,improve the corporate governance and promote long-term stable development of enterprises.This paper studies employee stock ownership plan by taking the employee equity incentive scheme implemented by Guangzhou Port Construction Engineering Co.,Ltd as the research object.The theory related to employee equity incentive is studied.On this basis,the effect and experience of equity incentive in domestic and foreign enterprises are analyzed.The successful experience of advanced enterprises in the industry is used for reference.This paper is divided into seven chapters.Chapter 1 introduces the research background,research significance,research ideas and research methods.Chapter 2 elaborates the theory of employee equity incentive,introduces the definition and characteristics of equity incentive,and analyzes the research on equity incentive in domestic and foreign enterprises.Chapter 3 introduces the general situation of the construction engineering company and the current situation and problems of employee motivation work,and explores the causes of the existing problems so as to deeply analyze the necessity of implementing employee equity incentive.In Chapter 4,the employee stock ownership plan is introduced,including its development history,advantages and disadvantages in China.Moreover,the feasibility of implementing the employee stock ownership plan in construction engineering companies is analyzed from perspectives of the internal and external environment,demand for development and employees' attitude.Chapter 5 introduces the contents of implementing employee stock ownership plan,including the principle of employee stock ownership plan,scope of stock owners,total amount,shareholding proportion,investment pattern,distribution form,shareholding and management mode and adjustment and exit mechanism.In chapter 6,the supporting measures are proposed for the implementation of employee stock ownership plan in construction engineering companies so as to lay a solid foundation for the smooth implementation of the plan.Finally,Chapter 7 summarizes the conclusions and proposes the prospects.Based on the research and analysis in this paper,the author believes that it is both feasible and necessary to implement employee stock ownership plan for Guangzhou Port Construction Engineering Co.,Ltd.Owing to the few examples of implementing of employee stock ownershipplan in state-owned enterprises,its implementation is of great significance to the plan of the joint-stock companies and state-owned enterprises.Therefore,the plan should be formulated through cautious attitude and detailed consideration from multiple perspectives and implemented step by step.
