State owned enterprises as the core of the northeast old industrial base,in economic development plays a decisive role,therefore,the success of the reform of state-owned enterprises not only enable enterprises to their own development and growth,is to increase the value of state-owned assets,the current round of reform of state-owned listed companies,mainly for the company's asset restructuring.Asset reorganization covers a wide range of contents,and all the reorganization of assets within the scope of the capital market is called asset reorganization.Therefore,it is not only a merger and acquisition,but also a means of equity transfer and debt restructuring.It also affects the company's subsequent development from many aspects such as finance,operation and strategy.The successful asset restructuring will increase the size of the company and enhance the overall strength of the company while the listed company realizes the optimal allocation of the resources.More importantly,it helps listed companies to achieve business transformation and industrial upgrading,so as to find new profit growth points,enhance profitability and enhance company profits.This paper discusses the Jilin Forest Industry Co.Ltd is sponsored by the Jilin Forestry Industry Corporation,the state-owned listed companies,including the main business of wood products,health food and other forest products trade.Under the call of revitalizing the old industrial base in Northeast China,the reform of state-owned enterprises was carried out.In 2016,asset restructuring was carried out,and industrial upgrading and leaping development were achieved by issuing shares to purchase assets.Taking asset restructuring as the research object,this paper studies the company's situation,reorganization background and reorganization plan in detail,and obtains successful experience and shortcomings through evaluation analysis.In this paper,the above contents are divided into four parts,which are as follows:The first chapter introduces the background and significance of the topic first,then introduces the research contents and methods.Finally,it describes the literature review and the theoretical knowledge applied in detail.The second chapter is the case text,that is,the basic situation of this asset reorganization,including the company's brief introduction,historical evolution,main business and financial status.Through the evaluation and study of the background and plan of the reorganization,we get the successful experience of reorganization and the problems that need further improvement.The third chapter is to analyze the cause of the discovery.The fourth chapter,through the use of the knowledge learned by MBA,puts forward the strategy design for the problem and ensures the successful implementation of the reorganization.This paper mainly adopts the literature research method,case study method and performance index evaluation method,through the above method draws the following conclusions: there is no denying that this asset restructuring is successful,because it allows the company to achieve business transformation and expansion of the company scale,enhance profitability,in this process,to achieve the preservation and the value of state-owned assets,but also provide constructive suggestions for the reform of other state-owned enterprises.Due to the reorganization of assets for a longer period of time,the deadline are not complete the follow-up work,relevant agencies of certain assets has not completed the audit and evaluation,so the results and performance of the company after the reorganization of the evaluation,the conclusion and the actual errors.The follow-up improvement proposals designed in this paper have been discussed with some staff members in the Finance Department of Jilin Forest Industry joint stock company,and some of them have been adopted.At the same time,they are also involved in the improvement work of reorganization.
