| Since the Ming and Qing dynasties,with the rapid development of commodity economy,various commercial groups of different regions have emerged in various places,among which Huizhou merchants and Shanxi merchants have been active in the circulation field for hundreds of years.They had a profound impact on the economy and society at that time.Huizhou merchants and Shanxi merchants are regional commercial organizations.Regional culture has an important influence on the formation of commercial organizations,especially on the formation of their governance model.From the angle of corporate governance,the study of the influence of different regional cultures on Huizhou merchants and Shanxi merchants,governance model is not only helpful to probe into the internal operation mechanism of Huizhou merchants and Shanxi merchants,but also help us learn from the effective operation of modern commercial organizations.Therefore,from the point of view of regional culture,this paper studies will compare the influence of different regional cultures on Huizhou merchants and Shanxi merchants.This article mainly carries out the research from the following six aspects.The first chapter is the introduction part,which mainly analyzes the background and significance of the selected topic,the research status at home and abroad,the introduces the research methods and the innovation points of this paper.The second chapter mainly introduces the different regional cultures on Hui merchants and Shanxi merchants,and analyzes the origin,manifestation and formation reasons of Hui merchants'clan concepts and Shanxi merchants' local concepts.Because Huizhou is in the high terrains and is less disturbed by the war,Huizhou has become the migration place of the large ethnic groups in the north,thus forming the characteristic that Huizhou merchants attach importance to the clan and blood relation.Shanxi is located in the border of Central Plains and ethnic minorities.After the Sui and Tang dynasties,there has been a lot of ethnic groups integration,and the marriage relationship of people's families was complicated,which formed their regional character.At the same time,it is deeply influenced by Confucian"Home" and "local" concept and traditional regional culture and i t makes the idea of blood and native land deeply ingrained in the eyes of Shanxi people.The third chapter introduces the different governance models of Huizhou Merchants and Shanxi Merchants.Huizhou merchants gradually formed the"people-oriented" patriarchal governance model with blood and clan ties under their developed clan concepts and beliefs.Specifically,the recruitment scope of Huizhou merchants is mostly of the same family,adopting the mechanism of emphasizing restraint and light incentive,mainly through the bidirectional punishment mechanism of clan law and the implicit incentive contract to motivate and restrain the behavior of employees to protect the high efficiency of the business group governance model.In contrast with Huizhou merchants,Shanxi merchants received influenced by regional culture,so it chose the contractual governance mode of "capital as the core".Shanxi merchants followed the principle of "avoiding relatives and choosing local people" when selecting talented people as management personnel of the firms,and attaching great importance to incentives and neglecting restrictions.Creative use of Across-stock system,rules and informal system to encourage and restrain the behavior of the members,and to safeguard the overall interests of the group.The forth chapter introduces the endogenous relationship between regional culture and business group governance,and describes the choice of governance mode under the influence of different regional culture between Huizhou merchants and Shanxi merchants.By using the cooperative game and joint game in game theory,the author analyzes the governance model of Huizhou merchants and Shanxi merchants,and finds that Huizhou merchants are influenced by clan culture,and the men of the merchants select from the clan,forming the dual identity of the members of the business group with the same clan.Under the cooperative game within the merchants,a joint game is formed with the clan,which can reduce the cost of governance in setting up the incentive and restraint mechanism and form its clans-style recessive governance mode.As for Shanxi merchants,influenced by the local culture,Shanxi people pay more attention to their moral integrity,so they implement the principle of"avoiding relatives on the village" because of the conflict with their blood relationship.Therefore,the members of the merchants have the status of fellow villagers at the same time.Both of them are affected by the rural contract,thus forming the cooperative game of the business group and the joint game in the village.However,there is no incentive function in the rural area,so on this basis,Shanxi merchants have formulated a formal incentive system,thus forming a contractual governance model of Shanxi merchants.The fifth chapter analyze the performance of Huizhou merchants and Shanxi merchants' different governance models.Although the governance models of Huizhou merchants and Shanxi merchants are different,their governance mechanisms have the effect of reducing the cost of governance and improving the efficiency of governance in the early development and flourishing period.However,in the latter stage of business group governance,because of the restriction of interest groups and traditional thoughts,it does not change from time to time but affects the improvement of governance efficiency.Therefore,the two governance models are effective in the early stage of development,but they should change from time to time and pay attention to innovation.The conclusion and revelation of this paper are that if enterprises want to develop for a long time,they must combine the local regional culture with their own actual governance model,and adapt to the change of external market environment and change the original system and mode in time. |
