The prospectus is a financial text to disclose the company profile to potential buyers and attract investors to purchase shares.The prospectus contains the company's business,management,financial statements,ongoing litigation and other important information,which is an important consideration for investors to make capital investment.With the further development and friction of global trade,growing enterprises are seeking overseas listing.The Chinese translation of the prospectus will not only help potential Chinese buyers to understand the company's profile and acquire information needed,but also help listed companies to raise sufficient capital.This paper analyzes the external factors of the prospectus,such as the participating subjects and the functions of the text,which constitute the requirements of the translation practice,and thus the author determines the translation functionalism theory of Skopostheorie as the guiding theory of the translation practice.This paper expounds the difficulties encountered and reaches solutions in translation practice from the aspects of lexis and syntax,as well as analyzes the translation of section numeration,hoping to provide suggestions and help for similar financial text translation practice in the future.This paper takes the prospectus published on the NASDAQ website as the translation text,and finds that under the guidance of Skopostheorie,the text information should be conveyed in a way that is easy to be understood by the text receiver on the basis of retaining the original meaning of the information when translating such financial texts.Meanwhile,attention should be paid to the distance with the translation text receiver,and it is not advisable to make the translation too estranged or intimated to the receiver according to the textual nature of financial text.
