Research On The System Design Of Public Offering Equity Exemptions In China

As a new form of Internet financing,crowdfunding has aroused peopleundefineds widespread concern,and has also become a hot spot for scholars to study and discuss.At present,there is a lack of legal norms to adjust it,and relevant documents have positioned it as public stock raising.Under the existing legal system,there is no room for its survival.At present,the draft of the Securities Law,which is currently being revised,has made some principled provisions on it,and the public funding exemption is expected to fall to the ground.The author is just based on the existing problems.Guided by the design of the exemption system of public offering stock,this paper analyzes the problems,and puts forward the path of designing the exemption system of public offering stock financing on the basis of deep level analysis and demonstration,which is divided into the following three parts:The first chapter is to clarify the legal status of public funding and its exemption,through the public funding and its exemption of the relevant concepts,attributes of the definition,and then clear its legal status and the urgency of the construction of public funding system;The second chapter analyzes the current situation of public funding exemption in China,the necessity and feasibility of public funding exemption,and further analyzes and demonstrates a series of difficulties faced by public funding exemption;The third chapter analyzes the views of some Chinese scholars on the premise of combining the reality of our country,and draws lessons from the relevant systems of the United States and Japan,aiming at the problems mentioned above,respectively from the relevant laws to formulate and improve,investor protection.Perfecting the information disclosure mechanism,perfecting the governance structure of the financing platform,and constructing the supporting system to design the exemption system of public offering stock raising in our country.
