The United States is the largest developed economy in the world,with both a complete market system and a sound legal system.Today,the country is the world's largest beneficiary of foreign direct investment and merger and acquisition(M&A).The U.S.is also the first country to introduce legislation on the national security review system for foreign mergers and acquisitions(M&A).As Chinese companies have increased their investments and acquisition activities in the U.S.the number of failed deals under U.S.national security scrutiny has also grown up.The U.S.has launched a trade war against China in 2018.There have been a series of changes in foreign M&A policy.President Trump recently signed The Foreign Investment Risk Review Modernization Act of 2018(FIRRMA)of 2018,which expands The Committee on Foreign Investment in the United States(CFIUS)'s jurisdiction.This paper finds that the FIRRMA has had a significant impact on the U.S.National Security Review on Foreign Investment.The general trend is towards ever more stringent standards,ever more obstacles to censorship,ever greater jurisdiction and ever greater costs.This paper systematically interprets the formation and evolution of the U.S.National Security Review on Foreign Investment and related laws and makes a more comprehensive interpretation and in-depth analysis of the new trend of the U.S.National Security Review on Foreign Investment and the new changes reviewed by The Committee on Foreign Investment in the United States(CFIUS)in the context of the Sino-U.S.trade war,and for the first time puts forward the conclusion of " one general trend,four new changes".The paper then discusses possible respond and solutions to The Committee on Foreign Investment in the United States(CFIUS)investigations and passes scrutiny in the context of China-US trade dispute,It is of practical significance to provide reference for the implementation of foreign investment and M&A projects by Chinese firms.In addition,the author has also thought and made suggestions to Chinese government about how to support and protect the Chinese companies' investments and acquisition activities in the U.S.
