The Establishment And Effect Of An Electronic Contract

The rapid development of electronic technology has promoted the growing prosperity of e-commerce.Although e-commerce has not changed the nature of the market transactions of which the contract is the core,but it has changed the means of market transactions essentially,and it has changed the form of market transactions.The core of e-commerce is electronic transactions,while an electronic contract is an important carrier of an electronic transaction.That explains that the study on electronic contracts has become the focus of research in the field of electronic commerce.Civil law,such as "General Principles of Civil Law","Contract Law",still applies in electronic contracts,a new form of the contract.However,its specificity new characters have caused lots of new issues to be solved in current electronic trading,such as electronic signature,electronic authentication,the time and the place of offer and acceptance’s becoming effective in internet environment.This paper is used to trying to discuss the electronic contracts’ specific characteristics from the real problem of judicial practice and network contracts,and provide some suggestions to electronic contracts legislation from foreign legislative experience.
