Research On Corporate Governance Of Non-profit Private Schools In China

Since the promulgation of the Private Education Promotion Law of the Ministry of Education in 2002,private schools have shown a vigorous development trend in the past 20 years,which is an important supplement to the public education in China,and has gradually become an important part of China's education.Following the implementation of the Amendment to the Civil Promotion Law in 2016,private schools are divided into for-profit private schools and non-profit private schools.This not only recognizes the legal status of for-profit private schools and the independent status of non-profit private schools in law,but also further clarifies the legal personality of non-profit private schools,and promotes the management system and non-profit private schools.The reform and innovation of operation mechanism is of great significance.Non-profit private schools have entered a critical period of institutional change.School corporate governance is the core of school system.At present,for non-profit private schools,they have made great progress in all aspects,management has become more and more standardized,and the quality of running schools has been greatly improved.On this basis,we need to further improve their governance structure,so it is necessary to analyze and study the corporate governance of non-profit private schools.The main purpose of the corporate governance structure of non-profit private schools is to make a set of institutional arrangements for the power distribution and balance of the board of directors and the board of supervisors of non-profit private schools on the premise of insisting on non-profit.The article is divided into three parts: introduction,body and conclusion.Firstly,the first part is the introduction,discussing the background and significance of the topic,in addition to introducing the relevant literature review,research methods and innovations.The main body mainly includes four aspects.Firstly,this paper probes into the legal personality of non-profit private schools,analyses the characteristics of non-profit private schools and the characteristics and theoretical basis of legal personality governance.On the basis of comparing the legislative experience and practice of legal personality governance of non-profit private schools abroad,this paper aims at the imperfect constitution of legal personality governance of non-profit private schools in China and the defects of the power operation of the board of directors.With the serious weakening of the supervisory power of the board of supervisors,this paper puts forward specific suggestions for improvement,in order to benefit the theoretical research and practice of the corporate governance of private schools in China.
