The Function Orientation And Institutional Approach Of State-owned Capital In Corporate Enterprises

The function orientation of state-owned capital and the construction of legal system influence the effect of state-owned enterprises reform and play a vital role in the construction of the socialist market economy system in China.The new round of state-owned enterprise reform highlights the "management of capital".Based on the historical evolution and development status of state-owned enterprise reform in China,this dissertation focuses on the functional orientation of state-owned capital,emphasizes that the corporate system reform with mixed ownership reform as the breakthrough is the development trend of state-owned enterprise reform.It puts forward that the functional orientation of state-owned capital is the key to the reform of corporate system and mixed ownership.Through the definition of state-owned capital,which is developed from state-owned assets,this dissertation elaborates the basic theory of the characteristics of state-owned capital,its nature,the value it pursuits and manifestation form,with the focus in the corporate governance structure of state-owned capital and classified reform.This dissertation points out the dominant function,the initiation function,the public function and the supervision function of the state-owned capital in corporation reform.By the above analysis,this dissertation proposes that we should take full advantage of the characteristics of "limited liability" in order to precisely position the public function of state-owned capital,to fulfill social responsibility,and to create social public value.From the perspective of legal system construction,it is necessary to systematically construct the ownership and management rights system of enterprises,to improve the multi-ownership share system,to explore and introduce the trust system,and construct the information disclosure system,so as to realize the functional positioning of state-owned capital and create social value.
